Terms of Service

Thank you for using Hain. These Terms of Service ("Terms") govern your access to and use of our mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you:

  • Are at least 13 years of age
  • Have the legal capacity to enter into these Terms
  • Will comply with all applicable laws and regulations
  • Accept and agree to be bound by these Terms

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Hain is a restaurant reservation and dining platform that allows users to:

  • Browse participating restaurants and their branches
  • Make table reservations at available times
  • Pay reservation fees securely through third-party payment processors
  • Check in to reservations using QR codes
  • Pre-order menu items for their reservation
  • Track reservation and order status in real-time
  • Manage their dining history and preferences

3. Account Registration and Security

Registration

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You may not transfer your account to another person without our consent

Account Security

  • You are responsible for all activities that occur under your account
  • We reserve the right to suspend or terminate accounts that violate these Terms
  • We are not liable for any loss or damage arising from unauthorized account access

4. Reservations

Making Reservations

  • All reservations are subject to restaurant availability
  • You must provide accurate information including party size, date, time, and contact details
  • Reservations require approval from the restaurant staff before payment can be made
  • If staff rejects your booking, no payment is required
  • Once staff accepts your booking, you will be prompted to complete payment within a specified time limit
  • Your reservation is only confirmed once payment is successfully completed

Reservation Fees

  • Reservation fees vary by restaurant and are displayed before booking
  • Payment can only be made after restaurant staff accepts your booking request
  • You must complete payment within the specified time limit to confirm your reservation
  • If staff rejects your booking, no payment is required
  • If you fail to complete payment after staff accepts, your reservation will be cancelled
  • The amount shown at booking is the final amount you will pay (no hidden fees)
  • Upon arrival and check-in, the reservation fee may be credited toward your dining bill (at the restaurant's discretion)

Check-In

  • You must check in to your reservation by scanning the table QR code at the restaurant
  • Check-ins are only valid within your reservation time window
  • Late arrivals beyond the grace period (typically 15 minutes) may result in no-show status

No-Show Policy

  • Failure to check in within the grace period will result in a no-show
  • Reservation fees are forfeited for no-show reservations
  • Repeated no-shows may result in account restrictions or suspension

5. Pre-Ordering and Menu Services

  • Menu items and availability are managed by individual restaurants
  • Pre-orders must be placed before arriving at the restaurant
  • Prices and menu offerings may change without notice
  • Restaurants reserve the right to refuse or cancel pre-orders due to unavailability
  • Special dietary requests are accommodated on a best-effort basis

6. Payment Processing

Payment Methods

  • We currently accept QRPH as our payment method through our third-party payment processor (PayMongo)
  • Additional payment methods (payment cards, GCash, Maya, and others) will be supported in the future
  • You authorize us to charge your selected payment method for reservation fees and orders
  • All payments are processed securely through encrypted connections

Payment Terms

  • Prices are displayed in Philippine Pesos (PHP) unless otherwise stated
  • Payment must be completed within the specified time limit to confirm your reservation
  • We do not store your payment information; all transactions are processed securely through our payment processor

Refund Policy

Important: Payment can only be made AFTER restaurant staff accepts your booking. You must manually complete payment to confirm your reservation. Staff rejections result in no payment required, so no refund is needed. If you do not complete payment after staff accepts, your reservation will be cancelled with no charge.

Valid Reasons for Refund

Refunds will be issued in the following circumstances:

1. Merchant-Side Failures (Post-Acceptance)

  • Staff accepted your booking, but the restaurant was unexpectedly closed when you arrived (e.g., emergency maintenance, power outage)
  • Staff accepted your booking, but the restaurant later realized they cannot fulfill it due to a private event, kitchen failure, fire, or similar emergency
  • You arrived on time, but the restaurant gave your table away and cannot provide an alternative table within a reasonable timeframe (30-45 minutes)

2. Technical & Billing Accuracy

  • You were charged an amount higher than what was displayed at checkout due to a calculation error
  • A system glitch caused your payment to be processed twice for the same reservation
  • Payment was charged but the restaurant's system has no record of your booking due to technical failure

3. Legal Redress (Misrepresentation)

  • The app listed specific features (e.g., "includes 1 free drink" or "VIP lounge access") that were denied by staff upon arrival
  • You arrived to find the establishment in a state that violates health or safety codes (e.g., active pest issues), making it impossible to dine safely

4. Force Majeure (Unavoidable Events)

  • Typhoons, severe flooding, earthquakes, or other natural disasters that prevent either you from traveling or the restaurant from operating safely
  • Sudden changes in local community quarantine levels, lockdowns, or government-mandated closures that fundamentally prevent the reservation from occurring

NOT Valid for Refund

The following situations do NOT qualify for refunds:

  • Customer-initiated cancellations (regardless of how far in advance)
  • Customer no-shows (failure to check in within the grace period)
  • Customer change of plans or personal circumstances
  • Traffic delays or non-emergency weather conditions
  • Dissatisfaction with food quality, service, or ambiance (these should be addressed directly with the restaurant)
  • Staff rejection of booking (no payment is charged in this case)

Refund Processing

  • All refund requests must be submitted through the app with supporting evidence (e.g., photos, system error messages, official notices)
  • Refund requests will be reviewed within 7 business days
  • Approved refunds will be processed to the original payment method within 5-10 business days
  • We reserve the right to request additional documentation to verify refund claims

7. Cancellation and Modification Policy

Customer Cancellations

  • You may cancel reservations through the app at any time before your scheduled reservation
  • Customer-initiated cancellations are not eligible for refunds, regardless of timing
  • If you have already completed payment, cancellations do not qualify under our refund policy and the reservation fee is forfeited
  • By completing payment for your booking, you accept that cancellations forfeit the reservation fee

Restaurant Cancellations

  • If restaurant staff rejects your booking request, no payment is required, so no refund is necessary
  • If the restaurant cancels your reservation after you have completed payment, this qualifies for a full refund under "Merchant-Side Failures" (see Section 6)
  • Restaurant-initiated cancellations after payment will be processed as refunds within 7 business days
  • We are not liable for consequential damages (e.g., travel costs, alternative dining expenses) resulting from restaurant cancellations

Modifications

  • Reservation modifications (time, party size, table) are subject to availability
  • Modification requests must be submitted through the app
  • Restaurants may decline modification requests

8. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Impersonate any person or entity
  • Make false or fraudulent reservations
  • Abuse, harass, or threaten restaurant staff or other users
  • Attempt to manipulate ratings or reviews
  • Use automated systems (bots) to make reservations
  • Resell or transfer reservations without authorization
  • Interfere with or disrupt the Service or servers

Violation of these rules may result in immediate account suspension or termination.

9. Restaurant Partner Relationships

  • We act as a platform connecting users with restaurant partners
  • Each restaurant operates independently and is responsible for its own services
  • Quality of food, service, and dining experience is the responsibility of the restaurant
  • We are not liable for the acts or omissions of restaurant partners
  • Disputes with restaurants should be resolved directly with the establishment

10. Intellectual Property

Our Content

  • All content, features, and functionality of the Service are owned by Hain or its licensors
  • This includes software, designs, text, graphics, logos, and trademarks
  • You may not copy, modify, distribute, sell, or reverse engineer any part of the Service

User Content

  • You retain ownership of any content you submit (reviews, photos, feedback)
  • By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute it
  • You represent that you have the right to submit such content and that it does not violate any third-party rights

11. Privacy and Data Protection

  • Your use of the Service is subject to our Privacy Policy
  • We collect, use, and protect your personal information as described in our Privacy Policy
  • You consent to the collection and use of your information in accordance with our Privacy Policy

12. Disclaimers and Limitations of Liability

Service Availability

  • The Service is provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted, timely, secure, or error-free service
  • Technical issues, maintenance, or circumstances beyond our control may affect availability

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability to you shall not exceed the amount you paid to us in the past 12 months
  • We are not responsible for restaurant service quality, food safety, or dining experiences
  • We do not guarantee the accuracy of restaurant information, menus, or availability

13. Indemnification

You agree to indemnify and hold harmless Hain, its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your conduct at restaurant establishments

14. Third-Party Services

  • The Service integrates with third-party payment processors and other service providers
  • Your use of third-party services is subject to their respective terms and policies
  • We are not responsible for the availability, accuracy, or reliability of third-party services

15. Modifications to Terms

  • We reserve the right to modify these Terms at any time
  • Changes will be effective immediately upon posting in the app
  • Continued use of the Service after changes constitutes acceptance of the new Terms
  • Material changes will be communicated through the app or via email

16. Termination

By You

  • You may terminate your account at any time through the app settings
  • Termination does not cancel existing confirmed reservations
  • You remain responsible for any outstanding payments

By Us

  • We may suspend or terminate your account immediately if you violate these Terms
  • We may terminate accounts that remain inactive for extended periods
  • We reserve the right to refuse service to anyone for any reason

Effect of Termination

  • Upon termination, your right to use the Service ceases immediately
  • We may delete your account data in accordance with our Privacy Policy
  • Certain provisions of these Terms survive termination (indemnification, disclaimers, limitations of liability)

17. Dispute Resolution

Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law provisions.

Dispute Process

  • We will attempt to resolve disputes informally through good-faith negotiations
  • If informal resolution fails, disputes shall be resolved through binding arbitration in the Philippines
  • You waive your right to participate in class action lawsuits

Exceptions

Nothing in these Terms affects your statutory rights as a consumer that cannot be waived or limited by contract.

18. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hain regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control (natural disasters, pandemics, government actions, etc.).

20. Acknowledgment

By using the Service, you acknowledge that:

  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • You consent to our Privacy Policy
  • You understand that payment must be completed AFTER staff accepts your booking and within the specified time limit
  • You understand that your reservation is only confirmed once payment is successfully completed
  • You understand the refund policy and valid refund circumstances (Section 6)
  • You understand the reservation, payment, and cancellation policies
  • You acknowledge that customer-initiated cancellations and no-shows are not eligible for refunds
